MARA Holdings Completes Major Financing Round

MARA Holdings, Inc. (NASDAQ: MARA), a prominent player in digital asset computation, has announced the completion of a substantial $1 billion offering of 0% convertible senior notes due 2030. The offering closed on November 20, 2024, and was conducted through a private placement to qualified institutional buyers, according to MARA Holdings.

Utilization of Proceeds

The net proceeds from this financial maneuver are estimated to be approximately $980 million. MARA Holdings intends to allocate around $199 million of this to repurchase $212 million in existing convertible notes set to mature in 2026. The remaining funds will be directed towards acquiring additional Bitcoin and supporting general corporate purposes, which may encompass working capital, strategic acquisitions, and the expansion of existing assets.

Details of the Convertible Notes

The issued notes are unsecured and senior obligations of MARA Holdings. These notes, which do not bear regular interest, will mature on March 1, 2030. Notably, MARA retains the option to pay special interest under specific conditions. The company also holds the right to redeem the notes for cash starting March 5, 2028, contingent upon the market price of its common stock reaching a certain threshold.

Conversion and Market Implications

The notes are convertible into cash, shares of MARA’s common stock, or a mix of both, at the company's discretion. The initial conversion rate is set at 38.5902 shares per $1,000 principal amount, equating to a conversion price of approximately $25.9133 per share. This represents a significant premium over the recent average trading price of MARA's stock.

Furthermore, the repurchase of the existing 2026 convertible notes is expected to influence market dynamics as hedged holders might adjust their positions, potentially impacting the trading volume and price of MARA's stock.
