The offering comprises 10,661,140 Class A ordinary shares priced at $13.94 each, with the transaction expected to close on November 19, 2025, subject to customary conditions.
Financial Details and Estimated Proceeds
The company anticipates net proceeds of approximately $148.4 million from this registered direct offering, post-deduction of associated expenses. Additionally, Bitdeer's private offering of 4.00% Convertible Senior Notes due 2031 is projected to yield approximately $388.0 million, potentially rising to $446.4 million if additional purchase options are exercised by initial buyers.
Use of Proceeds
Proceeds from these offerings are earmarked for several strategic initiatives. Bitdeer plans to allocate funds towards the cost of capped call transactions, repurchasing a portion of its 5.25% convertible senior notes due 2029, and expanding its datacenter capabilities. Further investments are intended for ASIC-based mining rig development, enhancement of its high-performance computing (HPC) and AI cloud business, and general corporate needs.
Offering and Transaction Contingencies
The completion of the direct offering is interdependent with the separate notes offering and note repurchase transactions. However, the notes offering can proceed independently of the other two transactions. Barclays Capital Inc. serves as the placement agent, while ICR Capital LLC acts as the financial advisor for the offering.
